Private Safehouse Network (PSN) Membership Agreement
Effective Date: 1 July 2025 (this Agreement accompanies the PSN Terms of Use and Privacy Policy).
Parties: This Membership Agreement (“Agreement”) is entered into by and between Private Safehouse Network (“PSN,” “we,” or “us”) and each individual or entity who registers as a member of the PSN community (“Member,” “you,” “your”). Members may enroll as Basic Members (without Safehouse access), Safehouse Guests—either Standard (FLEX) or VIP (Reserved)—or as Safehouse Hosts.
This Agreement supplements the PSN Terms of Use and Privacy Policy and incorporates them by reference. In the event of a conflict, this Agreement controls with respect to membership‑specific matters.
1 Membership Tiers and Eligibility
Basic Members remain in Basic Membership status upon initial payment of monthly Membership Fees. Basic Members remain in Basic Status until the successful completion of a Safehouse Intake Form and Background Check that qualifies the Basic Member to enjoy Safehouse Guest access. As a result, you should be aware that sign-up for PSN Basic Membership does not immediately result in access to PSN Safehouses. After completion of a Safehouse Intake Form, completion of a Background Check and Safehouse assignment may take several days. You should not join PSN and expect immediate Safehouse access.
There are two types of Safehouse Guests statuses:
FLEX (Standard) Guest Membership: Provides access to the network of Safehouses on a first‑come, first‑served basis during PSN activation events. Includes daily risk reports, emergency alerts, training materials and basic access to Safehouses. Requires a monthly membership fee (currently $19/month as advertised on the PSN website) and successful completion of a background check (subject to a background check fee). For FLEX Guest Members, no specific Safehouse is reserved; availability depends on demand and geographic proximity. FLEX Guest Members may not have access to a Safehouse in time of need. To guarantee access, a Guest Member should seek RESERVED Guest Membership status.
RESERVED Guest Membership
Includes all benefits of FLEX membership plus exclusive reservation of a particular Safehouse for the Guest Member and Member's family. Requires a higher readiness fee and may involve a separate background‑check process. Provides priority communications and personalized preparedness resources.
Host Membership
Members who list a property as a Safehouse. Hosts must satisfy PSN vetting requirements, including background checks, property inspections and proof of insurance. Hosts can withdraw their listing at any time, subject to ongoing obligations for confirmed or active Guest reservations.
2 Definitions
For purposes of this Agreement, capitalized terms have the meanings set forth in the PSN Terms of Use.
Additional definitions:
Nightly Rate: The per‑night fee a Host charges Guests for staying at a Safehouse. Nightly rates are set by PSN or the Host, and vary by property and are disclosed in advance.
Readiness Fee: A monthly fee paid by VIP Guests to reserve a specific Safehouse and compensate the Host for maintaining it in a ready‑to‑occupy condition.
Activation: The period during which PSN declares an emergency and Guests may deploy to Safehouses.
Confidential Information: All non‑public information relating to PSN, Safehouses, Hosts, Guests and the location of Safehouses. This includes but is not limited to personal identities, property addresses and pricing.
3 Payment Terms and Billing
3.1 Membership Fees
Monthly Dues: By enrolling, Members authorize PSN to charge their credit card on file for recurring monthly membership dues. The fee amount depends on the membership tier and will be displayed at the time of enrollment.
Billing Cycle: Membership fees are billed monthly in advance. PSN will notify Members at least 30 days before any change in pricing.
Non‑Refundable: Except as expressly provided in this Agreement or required by law, membership fees and readiness fees are non‑refundable. Cancellation of membership ends the obligation to pay future monthly fees but does not entitle the Member to a refund for the current billing period.
3.2 Nightly Stays
Nightly Rate Payment: When a Guest deploys to a Safehouse, the Guest’s credit card on file will be charged for the full anticipated stay at the nightly rate set by the Host. PSN processes all payments via a third‑party payment processor (e.g., Stripe or similar process, subject to change).
Incidentals: Hosts may include reasonable cleaning or pet fees in the nightly rate. Any supplemental fees must be disclosed before booking and included in the total shown to the Guest; collecting undisclosed fees outside PSN is prohibited.
Taxes: Hosts are responsible for determining and remitting applicable occupancy, lodging and sales taxes. PSN may facilitate collection and remittance where required by law.
3.3 Cancellations and Refunds
PSN’s cancellation rules depend on the reservation type and timing:
a. Membership Cancellation: Members may cancel their monthly membership at any time via their account settings. Cancellation takes effect at the end of the current billing cycle; fees already paid will not be refunded.
b. Guest Reservation Cancellations:
How it Works: Upon PSN Safehouse Network Activation, PSN matches Guest Members in the impacted area with Hosts in rural areas outside but within a reasonable drive to the impacted area. PSN contacts Safehouse Hosts to confirm availability. PSN then contacts Guests with Safehouse options and/or location of the Safehouse and the minimum lock-in stay duration depending on the nature of the disaster. Lock-ins are typically 3, 7, or 31 days. At that time, prospective Guests must confirm with PSN their binding intention to accept the Lock-in period, occupy the Safehouse, as well as finalize the number of occupants and/or pets. Upon confirmation from Guest Members a security deposit, cleaning fee, and nighly fees are then charged to the Guests credit card on file.
No Refund: If the Guest cancels after commitment or does not show up to the Safehouse, there is no refund; the Host is paid for the entire reservation.
Rebooking: If a FLEX Hosts cancels before check‑in or fails to provide access, the Guest will receive a full refund and may be rebooked into an alternative Safehouse. PSN will assist with relocation if possible.
c. Exceptional Force Majeure
PSN is designed for ordinary natural disasters, civil unrest or other disruptive events. If for some reason, an exceptional disruptive event prevent any Host or Guest from executive his or her duties under this Membership Agreement, then PSN may override the normal cancellation policy to provide refunds or alternative accommodations. Any refunds or rebooking decisions will be made at PSN’s sole discretion, consistent with industry practices.
4 Confidentiality and Non‑Circumvention
PSN is a private and discreet network. In the event of a disaster, panicked members of the public may be desperate for access to Safehouses. For the safety of all PSN Members, all Members, Guests and Hosts must protect all Confidential Information. Guests shall not disclose the location of a Safehouse or the identity, contact details or personal circumstances of their Hosts. Hosts shall not disclose the identity of Guests beyond what is required for the stay. Safehouse addresses may not be shared publicly or with third parties, except as strictly necessary for immediate family travel logistics.
No Solicitation Outside PSN: Members agree not to solicit or accept bookings or payments outside PSN. Circumventing PSN’s platform undermines community safety and may result in termination of membership and other consequences.
Non‑Use: Confidential Information may be used solely for the purpose of participating in PSN. Members may not use this information for competitive, commercial or personal gain, and may not publish or post any photos, videos or descriptions of Safehouses without prior written permission from both PSN and the Host.
5 Responsibilities of Hosts and Guests
5.1 Host Responsibilities
Safety and Compliance: Hosts agree to maintain their Safehouse in habitable condition and comply with all local laws and regulations. Hosts must ensure basic utilities (water, electricity, heating) are available and that escape routes and emergency supplies meet PSN standards.
Insurance: Hosts must maintain adequate property and liability insurance. PSN encourages Hosts to purchase homeowner’s or landlord insurance covering guest stays and acknowledges that PSN’s backup insurance is secondary and limited.
Damage Claims: If a Guest, their invitee or pet causes damage, the Host must first seek reimbursement from the responsible Guest. PSN Hosts must use PSN’s resolution procedures to request reimbursement from the Guest. PSN may offer a limited guarantee or facilitation but does not provide a primary insurance policy.
Accurate Listings: Hosts must provide accurate descriptions of the property, available beds, capacity and house rules. Misrepresentations may result in penalty fees and removal from PSN.
5.2 Guest Responsibilities
Respect Property: Guests agree to treat Safehouses with care, comply with house rules and local laws, and avoid causing nuisance or damage.
Payment Obligations: Guests must maintain an up‑to‑date payment method and pay membership fees, readiness fees (if applicable) and nightly rates. Failure to pay will result in immediate lack of access to alerts, information, and Safehouse access, as well as suspension of membership.
Damage Liability: Guests are responsible for any damage they or their invitees cause. PSN may place a hold on the Guest’s payment method or require additional funds to cover damage claims.
Background Checks: Guests must consent to background checks and may be required to provide additional documentation. Failure to pass the vetting process may result in denial of membership or access to Safehouses.
Compliance with Activation Protocols: Guests agree to follow PSN emergency procedures, including check‑in/check‑out processes, communication protocols and safety guidelines. Guests are responsible for their own evacuation planning and for following government evacuation orders; PSN’s guidance does not replace official directives.
6 Liability, Warranty Waivers and Assumption of Risk
No Guarantee of Completeness or Accuracy: PSN strives to provide timely emergency alerts and readiness materials, but information may be delayed, inaccurate or incomplete. PSN makes no warranty that alerts or Safehouse information will be error‑free.
No Substitute for Personal Judgment: Every emergency is unique. PSN’s guidance and platform should not replace personal judgment or official instructions from governmental or emergency authorities. Members should seek out and comply with directives from local, state or federal officials during an emergency.
Assumption of Risk: By participating in PSN, Members acknowledge that they assume all risks associated with travel, lodging and emergency response. PSN is not liable for personal injury, death, property damage, loss or any other harm arising from use of Safehouses, use of PSN's "Bug-Out" or "Bug-In" Calculator or reliance on PSN’s information.
Limitation of Liability: To the maximum extent permitted by law, PSN’s total liability shall not exceed the greater of (a) the total membership fees paid by the Member in the previous 12 months or (b) $100. PSN shall at no time or event ever be held liable for indirect, incidental or consequential damages.
Indemnification: Members agree to indemnify and hold PSN, its officers, directors, employees and agents harmless from any claims, damages or expenses (including attorneys’ fees) arising out of (i) reliance or use of PSN services under this Agreement or other PSN policies, (ii) damage to property or injury to persons caused by them or their invitees, or (iii) their interactions with other Members.
7 Dispute Resolution
Mediation and Arbitration: Any dispute arising under this Agreement will first be submitted to confidential mediation administered by the American Arbitration Association (AAA) in Delaware. If unresolved, the dispute will be resolved by binding arbitration in Delaware pursuant to the AAA’s rules.
No Class Actions: Members waive any right to participate in class or representative proceedings. Governing Law: This Agreement is governed by the laws of the State of Delaware, without regard to conflicts of laws principles.
8 Term, Termination and Modification
Term: This Agreement begins on the Effective Date and continues until terminated by either party.
Termination by Member: A Member may terminate this Agreement at any time by cancelling their account. Obligations regarding confidentiality, indemnification and payment for outstanding stays survive termination.
Termination by PSN: PSN may suspend or terminate membership for violations of this Agreement, failure to pay fees, fraud or unlawful conduct. PSN will provide notice where legally required.
Modifications: PSN may modify this Agreement with reasonable notice. Continued use of the Services after changes take effect constitutes acceptance. Significant changes to cancellation policies or fees will be communicated at least 30 days in advance.
9 Miscellaneous
Entire Agreement: This Agreement, together with the Terms of Use, Privacy Policy and any additional Host or Guest agreements, constitutes the entire agreement between the parties.
Severability: If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect.
No Waiver: Failure to enforce any provision is not a waiver of PSN’s right to enforce that provision later.
Assignment: Members may not assign their rights or obligations under this Agreement without PSN’s written consent. PSN may assign its rights under this Agreement.
Notices: PSN may send notices electronically (email, in‑app) or via postal mail to the Member’s last known address.
Members must keep their contact information current.
